1. Agreement to Terms
These Terms & Conditions ("Terms") govern your access to and use of the website nexifisolutions.us (the "Site") operated by Nexifi Solutions LLC ("Nexifi Solutions," "we," "us," or "our"), a limited liability company with its principal address at 2402 Milam St, Apt 4303, Houston, TX 77006. By accessing the Site or engaging our services, you agree to be bound by these Terms. If you do not agree, please do not use the Site.
2. Nature of Our Services
Nexifi Solutions LLC provides lead generation, digital advertising management, landing page development, and related marketing services (the "Services") to business clients located in the United States. We are an independent marketing company. We are not a law firm, insurance producer, financial institution, licensed contractor, or provider of the underlying services our clients offer, and nothing on this Site constitutes legal, financial, insurance, or professional advice.
3. Service Engagements
- All Service engagements begin with a direct conversation by phone. Scope, deliverables, pricing, and timelines are confirmed in a written proposal, agreement, or invoice ("Order") before work begins.
- In the event of a conflict between these Terms and a signed Order, the Order controls for that engagement.
- We may accept or decline any prospective engagement at our sole discretion.
4. No Guarantee of Results
Marketing outcomes depend on factors outside any agency's control, including market conditions, competition, seasonality, budget, advertising platform policies, and the client's own responsiveness and sales practices. Accordingly, we do not guarantee any specific number of leads, calls, conversions, rankings, or revenue outcomes, and no statement on this Site or in our communications should be interpreted as such a guarantee.
5. Client Responsibilities
Clients agree to:
- Provide accurate business information, licensing details where applicable, and timely approvals;
- Answer or return inquiries generated by campaigns in a professional and lawful manner;
- Hold all licenses, registrations, or permits required to offer their services in their jurisdictions;
- Use leads and inquiries only for the purpose for which they were generated, in compliance with all applicable laws, including the Telephone Consumer Protection Act (TCPA), the Telemarketing Sales Rule, CAN-SPAM, and state consumer-protection laws; and
- Pay agreed fees when due.
6. Compliance and Prohibited Uses
You may not use the Site or Services to promote unlawful products or services, engage in deceptive or misleading advertising, harass consumers, or violate any advertising platform's policies. We reserve the right to suspend or terminate any engagement that, in our reasonable judgment, creates legal or regulatory risk.
7. Payments
Fees are stated in the applicable Order and are payable in U.S. dollars. Unless otherwise agreed in writing, invoices are due upon receipt. We may pause or discontinue Services on accounts with overdue balances. Third-party advertising spend (for example, budgets paid directly to advertising platforms) is separate from our fees and is governed by the applicable platform's terms. Refunds and credits are governed by our Refund Policy.
8. Intellectual Property
All content on this Site — including text, design, graphics, and logos — is the property of Nexifi Solutions LLC or its licensors and is protected by applicable intellectual property laws. Deliverables created for a client (such as landing pages or ad copy) become the client's property upon full payment, except for pre-existing tools, templates, and know-how, which remain ours.
9. Third-Party Platforms and Links
Our Services may involve third-party platforms (such as advertising networks, hosting providers, and call tracking services). We are not responsible for the availability, policies, or actions of third parties, and any references to third-party brands are for identification only and do not imply affiliation or endorsement.
10. Disclaimer of Warranties
The Site and Services are provided "as is" and "as available." To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Site will be uninterrupted, error-free, or secure.
11. Limitation of Liability
To the fullest extent permitted by law, Nexifi Solutions LLC and its members, officers, and employees shall not be liable for any indirect, incidental, consequential, special, or punitive damages, or for lost profits, lost revenue, or lost data, arising out of or relating to the Site or Services. Our total aggregate liability for any claim shall not exceed the fees actually paid to us by the claiming party for the Services giving rise to the claim during the three (3) months preceding the event.
12. Indemnification
You agree to indemnify and hold harmless Nexifi Solutions LLC from and against any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from your use of the Services, your handling of consumer inquiries, your business practices, or your violation of these Terms or applicable law.
13. Termination
Either party may terminate an ongoing engagement as provided in the applicable Order, or with reasonable written notice if no notice period is specified. Termination does not relieve the client of payment obligations for Services already performed.
14. Governing Law and Disputes
These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles. Any dispute arising out of these Terms or the Services shall be brought exclusively in the state or federal courts located in Harris County, Texas, and the parties consent to the jurisdiction of such courts. The parties agree to attempt good-faith informal resolution before initiating any formal proceeding.
15. Changes to These Terms
We may revise these Terms at any time by posting an updated version on this page with a revised "Last updated" date. Continued use of the Site after changes are posted constitutes acceptance of the revised Terms.
