1. Who we are — and who we are not
Nexifi Solutions LLC provides bookkeeping and accounting support for business owners. We are not a CPA firm and we are not certified public accountants. We do not prepare taxes or file tax returns. We do not perform audits or attest services. We do not provide legal, investment, or tax advice. Books we keep are for your internal use.
2. United States only
Our services are offered only to clients located in the United States. We do not market to or accept clients outside the USA. This website is intended for a US audience.
3. Services
Depending on what we agree with you, services may include bookkeeping, bank and card reconciliation, accounts payable and receivable support, catch-up or cleanup of prior periods, unaudited owner reports for internal use, cash-flow snapshots, QuickBooks or Xero support, and bill-pay support. The specific scope of work will be confirmed when you engage us (for example by phone or written confirmation).
4. Your responsibilities
You remain responsible for providing complete and accurate records, access to accounts and software as needed, and timely responses to our questions. You remain responsible for any tax filings, tax returns, or other filings you make with your own CPA, enrolled agent, or other professional. Engaging Nexifi does not transfer those responsibilities to us.
5. No professional advice beyond bookkeeping support
Nothing on this website or in our deliverables is legal advice, tax advice, investment advice, or a substitute for a certified public accountant, attorney, or licensed financial advisor. If you need tax returns, audits, attest, or formal assurance, you must hire an appropriately licensed professional.
6. Website content and intellectual property
The design, text, graphics, and other materials on this site belong to Nexifi Solutions LLC or its licensors. You may not copy, scrape, or reuse site content for commercial purposes without our prior written permission.
7. Right to refuse service
We may decline or end an engagement if the work requested falls outside bookkeeping support (including tax preparation, audits, or attest), if records are incomplete or inaccessible, if communication breaks down, or for any other legitimate business reason.
8. Limitation of liability
To the fullest extent permitted by Texas and US law, Nexifi Solutions LLC’s total liability arising out of or related to our services or this website is limited to the fees you paid us for the specific services giving rise to the claim in the three (3) months before the claim. We are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost data, or business interruption, even if advised of the possibility. Some jurisdictions do not allow certain limitations; in those cases our liability is limited to the maximum extent allowed by law.
9. Indemnity
You agree to indemnify and hold harmless Nexifi Solutions LLC and its members and agents from claims arising from your misuse of our services, inaccurate records you provided, or your failure to meet your own tax or legal obligations.
10. Governing law and venue
These Terms are governed by the laws of the State of Texas, USA, without regard to conflict-of-law rules. You agree that exclusive venue for disputes lies in the state or federal courts located in Harris County, Texas.
11. Changes
We may update these Terms from time to time. The “Last updated” date at the top of this page will change when we do. Continued use of the site or services after an update means you accept the revised Terms.
